Terms and conditions

1. Definitions

• Pixel & Pace: the sole proprietorship of Sven Fortuin, KvK [KVK-NUMMER].
• Client: the entrepreneur or organisation that gives an assignment to Pixel & Pace.
• Assignment: designing, building and optionally hosting and maintaining a website.

2. Applicability

These terms apply to all quotes, assignments and services of Pixel & Pace. Deviations only apply if we have agreed them in writing (including by email).

3. Intake and designs

• The intake is free and without obligation.
• After payment of €100 excl. VAT, the client receives 3 designs for the homepage.
• If the client then chooses a package, the €100 is deducted from the package price.
• If the client does not choose a package, the €100 is not refunded. The designs that were not chosen remain the property of Pixel & Pace.

4. Delivery time

• Pace: the website is live within 72 hours. Full Pace: within 24 hours.
• The delivery time starts as soon as the intake has started.
• The delivery time depends on the client's response time. Time spent waiting for content, choices or feedback does not count.
• Exceeding the delivery time due to circumstances beyond our control gives no right to compensation or dissolution.

5. Feedback

• Each package includes 2 feedback rounds.
• Extra feedback rounds or changes beyond the agreed scope are billed at [UURTARIEF] per hour excl. VAT, after consultation in advance.

6. Content and rights

• The client supplies their own texts, photos and logo, unless agreed otherwise.
• The client guarantees that they hold the rights to all supplied content, and indemnifies Pixel & Pace against claims from third parties.

7. Prices and payment

• All prices are exclusive of VAT.
• 100% payment in advance.
• Invoices are paid within 14 days of the invoice date.
• In case of late payment, Pixel & Pace may take the website offline or suspend the work, after a reminder.

8. Ownership

• After full payment, the client owns the design and the content of the website.
• Pixel & Pace may name and show the website in its portfolio, unless the client objects.

9. Hosting and aftercare

• Hosting (€19 per month) and Aftercare (€49 per month) are optional and can be cancelled monthly, with a notice period of one month.
• Aftercare includes a maximum of 60 minutes of small changes per month. Unused minutes expire.
• We do our best to keep the website reachable at all times, but we cannot guarantee uninterrupted availability.

10. Liability

• Pixel & Pace is only liable for direct damage resulting from an attributable shortcoming.
• Liability is limited to the amount invoiced for the assignment in question.
• Pixel & Pace is not liable for indirect damage, such as missed revenue or consequential damage.
• Pixel & Pace gives no guarantee on positions in search engines or mentions in AI tools.

11. Applicable law

Dutch law applies to these terms and all assignments. Disputes are submitted to the competent court in The Hague.
